Terms & Conditions

Definitions
The client refers to the company or individual that is requesting the services. Adoublem refers to the owner & responsible party for completing the work.

The work order between Adoublem and the client will be based on these conditions and any variations to these conditions shall have no effect unless agreed in writing.

It is important that any of the work requested is not in any way illegal. In regards to a website, Adoublem shall expect the client to carry out sufficient research before proceeding with a website. This will include checking that the website/ idea/business will operate legally within US law.

Individual Projects & Package Plans
Work is either done as an individual project or as part of a monthly package plan. Work done through packages will take priority over individual projects. Price is determined in advance for package plans. For individual projects that are not part of a package estimates are provided before work begins. In some cases a client does not require a project estimate so one will not be provided in these circumstances.

Project Estimate
For individual projects, the specific work to be carried out shall be as set out in the Work Order Form and/or the Adoublem Project Estimate (PE). In all cases except when it is not required by the client, the PE will be emailed to the client prior to the start of work. The client will approve the PE by replying to the PE email stating they agree to start the work, and they accept the terms set forth in the PE, which include these terms & conditions. The Work Order Form, the agreed written specifications found in the PE and the invoice all are part of the overall terms and conditions.

The PE will include the scope of work, the estimated cost & the estimated time frame. The PE is an estimate and is subject to change due to the scope of the project changing or because the time it takes to complete the project has increased or decreased from the estimate.

Ongoing Projects
Work done through ongoing packages will take priority over other projects that are not part of a package. Packages require an annual, twelve month contract. This contract auto-renews each year unless it is canceled by either party. This contract may be canceled by either party at any time with 30 days advance notice in writing. Packages will be billed monthly and invoices are due upon receipt. In most cases, the work to be completed will be decided & stated in the contract. Additional work completed outside of the contract in most cases will be included in monthly invoices and will also be due upon receipt. Additional work outside of the package will be billed at a discounted rate. For annual contracts from $2,500 to $6,500 the discount for additional work will be 5%. For annual contracts from $6,501 to $18,500 the discount for additional work will be 10%. For annual contracts from $18,501+ the discount for additional work will be 15%. Packages are priced by project, not by hour. Hours do not carry over from one month to the next.

Start of Work
For individual projects, Adoublem will begin work on a project once the PE has been approved by the client through a reply email & any deposit, if required, is paid in full.
If a PE is not required by the client then work will begin after Adoublem receives the Work Order Form.
For packages, Adoublem will begin work once the annual contract is approved by the client.

Rush Jobs
We make every effort to accommodate rush orders. Due to nature of our business we may be completely booked at times, therefore submitting your work orders as early as you can will help ensure the timely completion of your project. For rush jobs, a surcharge will be charged for less than 24 hours notice and evenings, weekends or holidays.

Deposits & Payment Terms
All invoices are due upon receipt unless other arrangements have been made & are in writing on the PE. Invoices can be paid by check, cash or by credit card in person or securely online. A 50% deposit is taken for any project over $500, except when other arrangements have been made in advance. If Adoublem is required to purchase anything for the client (for example client gifts, etc.), these purchases must either be paid in advance by the client or paid with the client’s credit card.

For individual one-time projects that are not part of a package, billing will take place every Monday for work that has been completed Sunday through Saturday the previous week.

Packages will be billed monthly and invoices are due on receipt.

Unpaid Invoices and Late Fees
In the event that the client has an outstanding invoice 15 days overdue, Adoublem will cease all services and this agreement will be placed “on hold” until the client has paid the total amount owed.

A $50.00 late fee will be applied monthly to unpaid invoices. Please note, on the first month only the late fee will be broken into two $25.00 payments, one at 15 days and one at 30 days.

Project Completion Date
For individual projects, Adoublem will provide the client with an expected project completion date (this will be included in the PE). We will do everything we can to meet any given deadline but due to unforeseen circumstances (such as unexpected emergencies, acts of God, missing documents from the client, etc.), we do not guarantee and are not bound in any way to complete the project by this date. Adoublem will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.

For design projects the client agrees to make available as soon as is reasonably possible to Adoublem all materials required to complete the work to the agreed standard and within the set deadline.

Refunds
Adoublem reserves the right to decide whether a refund is applicable if requested by the client for any reason. A refund is not guaranteed by Adoublem. All our work is done with your 100% satisfaction in mind. If you feel something is not done right, let us know and we will fix it right away.

Cancellation of Services
A client may cancel a project at any time before they confirm the PE. Once a PE is approved, a client may request to cancel future work in writing within 2 weeks of the start of work. If money was paid in advance, refunds will be at the sole discretion of Adoublem depending on the circumstances.

Adoublem will consider a project canceled if the predetermined deposit or payment in full is not received within 30 days. Further, Adoublem can terminate a project if the client fails to supply information that is needed to complete the project (artwork, logo, text copy, etc.) within 30 days and all monies paid may not be refunded.

Annual Packages may be canceled by either party at any time with 30 days advance notice in writing.

Non-Disclosure
Any information disclosed to Adoublem by the client, or from Adoublem to the client in connection with work will be considered proprietary and confidential, including all such information relating to both company’s past, present, or future business activities, research, product design or development, personnel, and business opportunities.

Confidential information shall not include information previously known to either company, the general public, or previously recognized as standard practice in the field.

All confidential and proprietary information will be held in confidence and neither party will use such information except as may be authorized by the client or Adoublem and both parties will prevent any unauthorized dissemination. Both parties acknowledge that unauthorized disclosure could cause irreparable harm and significant injury.

Client Artwork
Adoublem respects any professional artwork provided by the client and will only use it only to assist in the goals set out in the PE. The copyrights will remain the client’s. Adoublem will not take the client’s artwork for use on any other site, resell it, or give it to anyone under any circumstance. Adoublem guarantees that all information shared with it including artwork, contact information, client notes etc. will remain confidential.

Adoublem Site Policy and Modification
Adoublem reserves the right to make changes to their website (www.adoublem.com), policies, and these Terms and Conditions at any time. If a client has an active PE, the policies in effect when that PE was approved will remain in effect.

Web Specific
Adoublem cannot be held responsible for problems or additional costs arising due to any errors made by third parties, or the client’s failure to maintain a current copy of their website.

Browser Compatibility
Adoublem makes every effort to design pages which display acceptably in the most popular current browsers, but cannot accept responsibility for pages which do not display acceptably in new versions of browsers released after pages have been designed.

Images
Images purchased by Adoublem on behalf of the client are strictly for use on their website only. Adoublem is not liable for misuse of these images by the client or any other person’s copying, altering or distributing the images to individuals or other organizations.

Domain Names
Domain names will be purchased by the client in advance or Adoublem can purchase the domain name for the client. Regardless how the domain name is purchased, the client will be the legal owner of the domain name & it is the responsibility of the client to renew their domain names when due. If a domain name expires, Adoublem cannot be held liable for this. However, Adoublem will make reasonable effort to contact the client regarding domain renewal. If a domain name is not renewed, it will become available to the public & it is possible for another company to use it.
